This Senior Attorney position will be primarily responsible for providing legal support to ENGIE North America’s (ENA) Renewables organization (ENA-Renewables) in connection with the development, operation, maintenance and optimization of wind, solar, energy storage and other renewable assets in the United States. Responsibilities will also include related financing and partnership management matters; assistance in overall compliance with federal, state and/or local laws and regulations; occasional assistance with dispute or litigation management; and such other transactional and contractual matters for ENA and its subsidiaries as may be required from time to time. By necessity, this is a “generalist” position.
What you’ll do:
Develops and executes comprehensive legal strategies and solutions to lawfully facilitate ENA’s and its affiliates’ commercial objectives while mitigating any associated legal risks.
Provides legal support and advice to the ENA-Renewables team in connection with complex energy services and energy infrastructure projects.
Drafts and negotiates various project-related contracts, including, by way of example:
operations and maintenance agreements
administrative services agreements
power purchase agreements
energy services agreements
commodity management agreements
joint venture, acquisition, or divestiture agreements
turbine services agreements
unanimous shareholders agreements / partnership agreements
real estate agreements, i.e., real property leases
Works to establish trust and cooperation with all members of ENA-Renewables organization. Adopts and promotes a “team” approach.
Manages a substantial and varied caseload of projects
Prepares and obtains internal and partner approvals and authorizations, including by preparation of legal risk memos and participation in project or investment review meetings.
Attend board and partner meetings.
Performs and coordinates legal due diligence, evaluation and risk analysis of transactions.
Provides legal support to ENA-Renewables in all aspects of corporate governance and entity formation and dissolution activities.
On occasion, supports ENA and its affiliates on matters not involving ENA-Renewables, as required to support the ENA legal function generally.
Works with and oversees outside counsel as necessary, working to ensure efficient and cost-effective use of such resources.
Complies with and supports the ethics, compliance and other applicable policies and procedures of ENGIE S.A. and its subsidiaries and works cooperatively with the personnel charged with implementing and monitoring same.
Carries out other duties as assigned.
What you bring:
JD from an ABA accredited law school required
Must be licensed to practice law in one of the fifty (50) United States.
Must have at least 10+ years energy transactional experience, preferably with substantive experience in the electric power and utility services area, involving a variety of
